A. Corporate Social Responsibility (CSR) – Introduction:
SPC Lifesciences Limited (“Company” or ‘SPC”) was incorporated on 15th June, 2005 having its registered office at 284/1, 2 & 3, GIDC Makarpua Estate, Vadodara – 390 010 engaged in the business of manufacturing pharmaceutical products.
B. Philosophy
SPC’s CSR philosophy is based on three verticals Care, Serve and Cure
Care: Providing educational/vocational training facilities, undertaking works for environment sustainability, maintaining ecological balance, cultural heritage and monument preservation.
Serve: Uplifting the weaker section of the society by providing for their basic needs.
Cure: Providing health care facilities to economically weaker section of the society.
C. FOCUS AREAS
Education: Promoting education, including special education and employment enhancing vocational skills, especially among children, women, elderly and differently-abled including but not limited to providing financial assistance for the development and construction of infrastructure for schools, laboratories, colleges, educational institutions, academic institutions and providing study material, educational books, equipment relating to education such as tables, chairs, stationary and providing all other related facilities and material as needed.
Healthcare: Providing healthcare facilities including but not limited to providing medicines, undertaking various body check-up tests for various organs of the body for the general public and society at large, providing/donating various types of medical equipment to various hospitals/healthcare institutions/Anganwadi meant for the general public and society at large, providing sanitation facilities, providing healthcare facilities to differently-abled and underprivileged.
Eradicating hunger, malnutrition, and poverty: To provide food items to underprivileged children, orphans, women, slum areas, and backward classes, schedule caste, schedule tribes with a view to eradicate hunger, malnutrition, and poverty and promote health and nutrition, and to provide vocational training to individuals for taking up employment/jobs, skilful labor job opportunities, undertake slum development and rural development projects with a view to provide sanitation, promote hygiene and making available safe drinking water.
Gender equality and empowerment of women: Setting up homes and hostels for women and orphans; setting up old age homes, daycare centers and such other facilities for senior citizens and measures for reducing inequalities faced by socially and economically backward groups.
Environment sustainability and maintaining ecological balance: Promoting tree plantation, flora and fauna, environment sustainability, maintaining ecological balance, animal welfare, agroforestry, undertaking measures for preservation and conservation of natural resources and maintaining the quality of air, soil, and water.
Others: Undertaking any other initiatives, measures, projects, activities and programs which are permissible and prescribed under Schedule VII of Companies
Act, 2013.
D. MODE OF CARRYING OUT CSR ACTIVITIES
- To undertake CSR activities on its own or through a registered public trust or registered society or Section 8 Company or in collaboration with other companies as permissible and prescribed by the provisions of the Companies Act, 2013 and Companies (Corporate Social Responsibility Policy) Rules, 2014.
- To collaborate with other institutions such as academic, research, government, non-governmental institutions (NGOs); community-based organizations (CBOs), civil society organizations (CSOs) and consultancy agencies for implementation of CSR projects & programmes, undertaking studies & action research and sharing of information with a view to promoting education.
- To undertake, conduct, organize, support, encourage and participate in seminars, workshops, conferences, conventions, training, lecture series, and/or group discussions to create public awareness and to increase awareness among policymakers and provide vocational/educational guidance, and counselling.
- To collect, gather and distribute statistical and technical information relating to the issues as stated in the focus areas of the Company and for that purpose to print, publish, issue and circulate periodicals, books, circulars and other literature, and hold seminars, meetings, and conferences.
- To serve as a resource centre for collecting, storing, collating and disseminating suitable communication materials and information from different sources to complement the focus areas of the Company.
- To establish and support professorships and lectureships, scholarships and prizes at any educational institutions engaged in the working of the focus areas of the Company.
- To act as a consultant, counsellor, facilitator and/or provider of information to any institution or organization or individual on hunger and food security, gender equality, education, natural resources, poverty alleviation, health and nutrition,
slum development, environment, renewable energy, water resources, income and livelihood creation and support.
- To organize exchange programs for representatives, functionaries, staff and people involved in initiatives which further the objectives of the company, and to provide training on work in India or abroad.
- To make donations, grant endowments and/or otherwise assist in any form
whatsoever to any charitable organizations/ institutions, registered societies, trusts, foundations, academic and/or cultural institutions that have similar focus areas as
stated above.
E. Responsibility of CSR Committee:
The followings are the roles and responsibilities of the CSR Committee:
- To formulate and recommend to the Board, a Corporate Social Responsibility Policy which shall indicate the activities to be undertaken by the Company as specified in Schedule VII of the Companies Act, 2013 and rules made there under and make any revisions as decided by the Board.
- To identify corporate social responsibility policy partners and corporate social responsibility policy programmes;
- To recommend the amount of expenditure to be incurred on the CSR activities and allocation of expenditure to various CSR activities, projects and programs undertaken by the Company.
- To delegate responsibilities to the corporate social responsibility team and supervise the proper execution of all delegated responsibilities;
- To review and monitor the implementation of CSR programs, projects and activities and issue necessary directions as required for implementation and timely completion of CSR-related work.
- To perform such other duties and functions as the Board may require the CSR committee to undertake to promote the corporate social responsibility activities of the Company and exercise such other powers as may be conferred upon the CSR Committee in terms of the provisions of Section 135 of the Act.
